UNCHOR OS Operator Agreement
Version 2026-10-23. Effective 23 October 2026.
This Operator Agreement forms part of the UNCHOR OS Terms of Service between you and SyncPesa Technologies Limited. It applies to every network you run with UNCHOR OS that serves other people, such as a hotspot, a venue, an office or a community network ("Location").
1. Operator warranties
Before a Location can sell access, you confirm the following in the app. You give these warranties each time you confirm them, and again each time the Location makes a sale.
- Premises rights. You own the premises, or are authorised by whoever controls them, to broadcast a Wi-Fi network and offer access there.
- Upstream authorisation. The internet connection used by the Location is yours or is lawfully provided to you, and your internet provider's terms permit you to share and charge for access to it, or you have the provider's written permission.
- Local law. You hold every licence, registration and permission the law of your country requires to offer internet access to the public, and you comply with it. In Kenya this includes a licence from the Communications Authority of Kenya or service through a licensed partner.
You can record licence numbers, licence holders and your provider's authorisation reference in the app as evidence. We may ask you for copies, and a Location stays in private (non-selling) mode until the warranties are confirmed.
2. Acceptable use
The Acceptable Use Policy applies to every Location. In particular you must not use UNCHOR OS to share, resell or charge for any network, connection or equipment you are not authorised to use, to bypass another network's access controls, or to capture other people's traffic or credentials.
3. Your customers
- You set your own prices and pass terms, and you are the seller to your customers.
- You must show a working support contact on your sign-in page and handle complaints and refunds promptly. UNCHOR OS provides refund tools; the decision remains yours.
- You must show your customers clear prices, durations and data allowances before they pay, and a link to your own privacy information. The sign-in page provides a privacy page you can use.
- You must not charge customers for access they did not receive. UNCHOR OS does not mark a pass as paid until the payment provider confirms the payment.
4. Payment accounts
You connect your own merchant accounts (such as M-Pesa, Paystack, Pesapal, Flutterwave or Stripe). Your agreements with those providers govern those accounts. We store the credentials encrypted, only to operate payments for you, and we never receive, hold or move your customers' money.
5. Your customers' personal data
You are the controller of your customers' personal data. We process it for you under the Data Processing Terms. You must have a lawful basis for collecting it, tell your customers how you use it, answer their requests (UNCHOR OS has tools for this), and register with your data-protection authority where the law requires it.
6. Suspension
We may return a Location to private (non-selling) mode, or suspend it, if:
- a warranty is untrue or is no longer true
- a regulator, internet provider or premises owner credibly complains
- the Location is used in breach of section 2
Where the law and safety allow, we tell you why first and give you a chance to fix the problem.
7. Records and cooperation
We keep a record of your warranties, including the time, the account and the network address they were given from. We may disclose this record, and records the law requires, to a regulator or court that lawfully asks for them, under the Government and Law Enforcement Request Policy.
8. Indemnity
You will compensate us for claims, fines and reasonable costs arising from a breach of your warranties or of section 2, except to the extent they were caused by our own breach or negligence.
